Most small companies find that they need to raise funds to achieve their desired rate of growth and other objectives. After exhausting funds from "family and friends," many small companies find that navigating through the maze of angel investors and venture capital funds can be a confusing and frustrating exercise. Angel investors can be hard to find, while venture capital firms can seem unapproachable and indifferent.
The PBGroup Funding Services
The Perreault Birmingham Group LLC, as part of its investment banking services, provides the skills, experience and contacts needed to match small companies with appropriate funding sources. Using a systematic process to review and analyze the value proposition of the business, PBG first determines whether a new business is likely to be funded, and where appropriate, suggest changes in the business model to enhance a company's prospects. Then PBG can identify and selectively contact potential investors that have demonstrated an interest in working with firms in the specific technology or market area which the company is targeting. By first performing thorough business analyses and developing a deep understanding of market opportunities, PBG has established itself with investors as an excellent source of high quality funding referrals.
In raising funds, PBG works through its principals who are registered representatives of ePlanning Securities, Inc., a licensed broker-dealer and member of the NASD and SIPC. Fundraising is conducted in accordance with Regulation D and other applicable federal and state securities laws.
Service Process
Steps in our funding service process:
- Become familiar with the Company's business, markets, products, technology, operations, prospects, financial condition, strategic position, business plan and shareholder goals and objectives.
- Revise and refine the Company's business strategy, including the product plan, the business plan and the financial plan to prepare a plan for the Company's business which would be achievable and which would be attractive to potential funding sources.
- Research the market for company's products, methods for sales and distribution of the Company's products, competitors, and potential acquirers of the Company.
- Estimate Valuation.
- Advise on financial strategy and type and pricing of funds to be raised (debt, bridge loans, or convertible shares, etc.)
- Review/prepare, with the Company, the private placement memorandum.
- Evaluate, select, qualify and target potential funding sources ("Prospects").
- Prepare, in collaboration with the Company, oral and written presentations, due diligence material and other materials regarding the Company for use in the funding process with Prospects.
- Introduce the Company to potential funding sources.
- Participate with management in preparing for and making presentations to potential funding sources.
- Maintain contact with Prospects, initiate or elicit offers and make recommendations to Management concerning negotiations with Prospects, and communicate the status of all Prospects and all material developments to the Company in a timely manner.
- Lead negotiations with Prospects regarding valuation and other investment terms and to obtain term sheets, letters of intent or other written offers acceptable to the Company.
- Assist the Company, its attorneys and its accountants in managing the due diligence process.
- Assist the Company and its representatives in closing the Transaction.
